1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the EMILockerAdmin software and services (the "Service") provided by CodeWint Technologies ("we", "us", "our"). By using the Service you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business or organization, you represent that you have authority to bind that entity.

2. White-Label Product & Client Relationship

EMILockerAdmin is offered as a white-label product. Clients ("Operators") who license the Service brand and operate it for end-users retain control of their business decisions, branding, pricing and user interactions. We supply the software, updates, and optional hosting or support as per the commercial agreement.

3. Client Responsibilities

• Clients must obtain all necessary consents, permissions and legal authorizations from end-users before enabling device-control features (locking, location tracking, camera disable, SMS-control, etc.).
• Clients are responsible for informing end-users about the nature and scope of control, data collection, and processing and for complying with applicable laws (including data protection laws).
• Clients must maintain their own records and backups of customer and loan data; CodeWint Technologies does not assume responsibility for client backups unless explicitly agreed in writing.

4. No Guarantee Against Data Loss

You acknowledge and agree that CodeWint Technologies shall not be liable for any loss of data, business interruption, or other damages arising from data loss, except to the extent expressly set out in a signed service-level agreement. Clients must maintain independent backups and disaster recovery plans.

5. Use of Device Control Features

Device control features (online locking, offline SMS locking, social media restrictions, location access, disabling camera/USB/calling, etc.) are powerful tools intended for lawful use only. Clients must ensure that these features are used in compliance with applicable laws and with the informed consent of device users.

6. Data Processing & Privacy

We process data on behalf of our clients as a data processor (or as otherwise agreed). Our Privacy Policy describes how we collect and secure data. Clients are the data controllers and must ensure they have lawful bases and consents for processing personal data of end-users.

7. Intellectual Property

All intellectual property rights in the EMILockerAdmin software, documentation, and related materials are owned by CodeWint Technologies or its licensors. Clients receive a limited, non-exclusive, non-transferable license to use the software as set out in their license agreement.

8. Fees and Payment

Fees, payment terms, and any additional charges for hosting, customization, or premium support will be set out in separate commercial agreements. Late payments may result in suspension of service.

9. Support and Maintenance

We provide support and maintenance as described in the applicable agreement. Emergency fixes may be applied as required to protect system integrity; such fixes may be applied without prior notice when necessary.

10. Limitation of Liability

To the maximum extent permitted by law, CodeWint Technologies' total liability arising out of or related to these Terms or the Service shall be limited to the fees paid by the client in the preceding 12 months. We will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits or business interruption.

11. Indemnity

Clients shall indemnify and hold CodeWint Technologies harmless from any claims, liabilities, losses, damages, or expenses (including legal fees) arising out of the client's breach of these Terms, misuse of device-control features, failure to obtain necessary consents, or violation of laws.

12. Termination

Either party may terminate the agreement in accordance with the termination terms in the commercial contract. Upon termination, we may suspend or delete client data in accordance with our data retention policies unless clients request data export or extended retention in writing.

13. Changes to Terms

We may modify these Terms from time to time. Material changes will be notified to clients in advance. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, unless otherwise agreed in writing.
